Terms and Conditions (AGB) – VisiReach
Effective: April 2026
1. Scope
These Terms and Conditions apply to all contracts between

– hereinafter referred to as “VisiReach” –
and its customers regarding the use of the platform and the provision of Google Business optimization and visibility services.
Services are exclusively offered to entrepreneurs within the meaning of § 14 BGB. Contracts with consumers are not concluded.
2. Subject Matter of the Contract
VisiReach provides digital services for optimizing the local online visibility of businesses.
This includes in particular:
- Google Business Profile optimization
- Automated post publishing
- Automated review responses
- Social media posting
- Event and offer publishing
- Reporting and visibility analytics
- Software-based marketing and automation services
- Social media posting (e.g. Facebook, Instagram, LinkedIn, Twitter/X, Pinterest)
The exact scope of services depends on the selected package.
3. Contract Conclusion, Activation and Billing Start
The contract is concluded when the customer places an order and VisiReach accepts the order or begins onboarding services.
The customer enters the onboarding phase immediately after contract conclusion.
The agreed subscription term and billing period begin upon successful connection of the customer’s Google Business Profile to VisiReach with the required access rights.
An invoice is issued upon activation.
3.1 Maximum Onboarding Waiting Period
The customer is required to complete all reasonably necessary onboarding actions without undue delay. This includes in particular:
- granting required account access
- accepting ownership or administrator invitations
- completing requested verification steps
- providing required business information
If onboarding has not been completed within 21 calendar days after contract conclusion due to missing customer cooperation, VisiReach may begin the agreed billing period and issue the invoice as contractually agreed.
3.2 Third-Party Platform Delays
If onboarding is delayed solely due to verification, claim, or approval processes of Google or other third-party platforms, VisiReach may reasonably extend the onboarding period.
In such cases, billing may be postponed until the external process is completed.
3.3 Communication During Delay
VisiReach may send reminders and onboarding notices during the onboarding period.
Failure to respond does not suspend contractual obligations where the delay is caused by the customer.
4. Contract Duration and Termination
Depending on the selected package, minimum terms apply:
- 3 months
- 6 months
- 12 months
The selected minimum term begins on the activation date.
The activation date is the successful connection of the customer's Google Business Profile with all required access rights.
After the minimum term, the contract automatically renews for the selected billing cycle unless terminated.
Termination is possible at any time without notice.
The contract remains active until the end of the active billing period.
5. Pricing and Payment Terms
Billing is primarily handled by invoice unless otherwise agreed.
Invoices may be issued before or upon activation, depending on the agreed payment model.
Unless otherwise stated, payment is due within the period specified on the invoice.
All prices are net plus applicable VAT unless stated otherwise.
Alternative payment methods may be offered in individual cases.
6. Payment Default and Service Suspension
If a payment fails, is reversed, or the subscription is canceled, VisiReach may immediately suspend all services.
Access to the account may remain active until payment is completed.
Services resume after successful payment.
7. Automated Publishing and Authorization
The customer explicitly authorizes VisiReach to perform automated and manual actions on their behalf.
This includes:
- Google Business posts
- Automated review responses
- Social media posts
- Event and offer publishing
Publishing may occur without prior approval.
Posting plans are created 4–12 weeks in advance.
The customer may review content but is not required to do so.
Services may rely on automated and AI-based systems for content selection, optimization, and publishing.
7.1 Access to Google Business Profile
The customer must grant VisiReach access to their Google Business Profile.
This may include:
- Administrator access
- Owner access
Access must remain active throughout the contract duration.
7.2 Acting on Behalf of the Customer
VisiReach may perform all necessary actions to deliver services, including:
- Updating business information
- Publishing and managing content
- Responding to reviews
- Optimization measures
All actions are carried out on behalf of the customer.
7.3 Withdrawal of Access
The customer may revoke access at any time.
This may limit or prevent service delivery.
Payment obligations remain unaffected.
7.4 Service Limitations Without Access
If access is not provided or revoked, VisiReach may limit or suspend services.
No entitlement to compensation or extension applies.
7.5 Scope Limitation
VisiReach does not perform actions beyond the agreed scope.
7.6 Additional Platform Access
If social media accounts are connected, these rules apply accordingly.
Platforms include:
- Twitter/X
8. Customer Obligations
The customer must provide and maintain all required access rights.
9. Platform Connections
If connections to third-party platforms are removed or restricted, VisiReach’s obligations may be suspended.
10. No Guarantee of Success
No specific business or marketing success is guaranteed.
This includes:
- Reach increases
- Rankings
- Visibility
- Leads
- Revenue
Results depend on external factors such as industry, competition, and location.
11. Content Responsibility
The customer is responsible for the legality of provided content.
12. Reference Usage
Customer references are used only with explicit consent.
13. Liability
Liability is limited to intent and gross negligence.
Maximum liability is limited to fees paid in the last 3 months.
No liability for third-party platform changes.
14. No Right of Withdrawal
Services are provided only to businesses.
15. Jurisdiction
German law applies. Jurisdiction is Cologne.
16. Severability Clause
Invalid provisions do not affect the validity of the remaining terms.
17. Media Processing and Publishing Guidelines
VisiReach may use text, customer-provided images, or AI-generated images.
17.1 Text-Only Posts
If no media is provided, posts may be published without images.
17.2 “Real Photos Only”
Only customer images are used. If none are suitable, posts are published without images.
17.3 “Smart Matching”
AI-generated images may be used if no suitable images are available.
17.4 Compliance
Customers must provide compliant content. Non-compliant content may be rejected.
